 Articles of Incorporation

I. NAME

The name of the corporation is KINGDOM HISTORICAL TRUST, INC.

II. PURPOSES

This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for charitable purposes.

The purposes of the corporation include, generally, facilitating research in the field of pre-17th Century Western culture and the presentation of activities and events which recreate the environment of said era, such as, but not limited to, tournaments, jousts, fairs, dances, competitions, etc. representative of said era.

III. INITIAL AGENT FOR SERVICE OF PROCESS

The name of the initial agent of the corporation for service of process is Sarahann Shapiro, YABLOK & ASSOCIATES, 2860 Zanker Rd., San Jose, CA 95134.

IV. LIMITATION ON CORPORATE ACTIVITIES

This corporation is organized and operated exclusively for charitable purposes within the meaning of Section 501 (c)(3) the Internal Revenue Code. Notwithstanding any other provision of these articles, the corporation shall not carry on any activities not permitted to be carried on:

(1) by a corporation exempt from federal income tax under Section 501 (c)(3) the Internal Revenue Code or under the corresponding provision of any future United States Internal Revenue Code.

(2) by a corporation, contributions to which are deductible under Section 170 of the Internal Revenue Code or under the corresponding provision of any future United States Internal Revenue Code.

No substantial part of the activities of this corporation shall consist of the carrying on of propaganda, or otherwise attempting to influence legislation, nor shall this corporation participate or intervene in any political campaign (including publishing or distribution of statements) on behalf of or in opposition to any candidate for public office.

V. INITIAL DIRECTORS

The corporation shall have no less than five (5) nor more than seven (7) directors. The initial directors of the corporation shall be:

VI. MEMBERSHIP

The corporation shall have no statutory members.

VII. DEDICATION OF PROPERTY

The property of this corporation is irrevocably dedicated to charitable purposes and no part of the net income or assets of this organization shall ever inure to the benefit of any director, officer, or member thereof, or to the benefit of any private persons.

VIII. DISSOLUTION

Upon the dissolution or winding up of the corporation, its assets remaining after payment of, or provision for payment of, all debts and liabilities of this corporation shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable purposes and which has established its tax-exempt status under Internal Revenue Code Section 501(c)(3).

If the Society for Creative Anachronism, Inc. remains qualified to receive the property of the corporation as stated above, then the remaining assets of this corporation shall be distributed to them.
